Each member of our firm represents individuals and businesses in real property transactions which can be as simple as the buying of a house to the acquisition of shopping centers, commercial buildings or large parcels of agricultural land. We handle matters relating to title to real property and can draft deeds, deeds of trusts and various other documents affecting title to real property. We also handle matters relating to boundary disputes and acquisition of road access whether through grants of easement or court decree.
Purchases and Sales of Real Property
Representing buyers and sellers in the purchase and sale of real property interests. That can involve residential, commercial, industrial, and development properties, and can include the negotiation and drafting of contracts, advice concerning investigations about the properties, the review of documents produced or to be produced for the due diligence of the purchaser, and attendance at closings to assist with the review of closing documents. Interests in real property can also include easements and other rights to make use of part of one property for the benefit of another, including rights acquired by historic use, such as adverse possession and prescriptive easements.
Leases
Representing both landlords and tenants in negotiating and drafting residential and commercial leases. Leases have tended to become ever more detailed and complicated. Commercial leases in particular have become long and extremely detailed. The applicable laws are very technical. As with any contract, the foresight to address problems which may arise can help the parties to avoid a disagreement or litigation later. We take pride in drafting and negotiating leases that are clear, fair, and enforceable, and in advising our clients about the risks they are undertaking under a lease.
1031 Exchanges
1031 is a section of the federal tax code which permits the sale of real property without recognition of gain on the sale, so long as a replacement property is purchased within specified time limits and the funds are held by an intermediary in the meantime. Such transactions can be fairly straightforward or highly complex, depending on the circumstances of the particular transaction. We have assisted with hundreds of exchanges, both as counsel for parties and, through separate companies, as a qualified intermediary to facilitate such exchanges.
